These Terms & Conditions ("Terms") govern your use of the website at hireacreativestrategist.com (the "Site") and the placement services Adcrate Ltd. ("Adcrate," "we," "us," or "our") provides under the Hire a Creative Strategist name. By accessing the Site, submitting a request or application, or using our services, you agree to these Terms. If you don't agree, don't use the Site.
1. Use of the site
You agree to use the Site only for lawful purposes and in ways that do not infringe the rights of, restrict, or inhibit anyone else's use of the Site. You will not:
- Attempt to gain unauthorized access to the Site, our systems, or any account or data.
- Use the Site to transmit malware, viruses, or harmful code.
- Scrape, copy, or redistribute substantial portions of the Site without our written permission.
- Submit false or misleading information, or submit on someone else's behalf without their permission.
- Use the Site to harass, defame, or harm others.
2. Intellectual property
All content on the Site, including text, graphics, logos, illustrations, images, videos, design, and code, is owned by Adcrate or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and download materials for personal, non-commercial reference only. Any other use, including reproduction, modification, distribution, or republication, requires our prior written consent.
The Hire a Creative Strategist name, logo, and mascot belong to Adcrate Ltd. Brands, product names, and logos referenced on the Site remain the property of their respective owners.
3. Placement services
Any placement between Adcrate and a hiring company is governed by a separate written placement agreement, which sets out the fee, payment terms, and the replacement guarantee. In the event of a conflict between these Terms and a placement agreement, the placement agreement controls for the subject matter it covers.
Requests and applications submitted through the Site do not create a contractual relationship. We review them at our discretion and may decline any request or application for any reason.
4. Fees
Hiring companies pay our fee, as set out in the applicable placement agreement. Nothing is due until a placed strategist starts, unless the placement agreement says otherwise. We do not charge strategists anything.
5. For strategists
- Applying does not guarantee a test, an interview, or a placement.
- You confirm that the information in your application is accurate and that the work in your portfolio and test is your own, or that you've been clear about your role in it.
- You keep ownership of your test submission. You allow us to use it to assess you and to share it with hiring companies we put you forward to.
- Once placed, you're employed or engaged by the hiring company, not by Adcrate. Your employment or contract terms are between you and that company.
- Current Adcrate employees are not eligible for the bench.
6. For hiring companies
- We vet strategists through our test and interview, but the hiring decision is yours. You're responsible for your own interviews, references, right-to-work and background checks, and for complying with employment law.
- The employment or contract is between you and the strategist. Adcrate is not the employer.
- Candidate information we share with you is confidential. Use it only to evaluate candidates for the role you've asked us to fill.
- If you hire or engage a strategist we introduced to you, the fee terms of your placement agreement apply.
7. Results and performance
Adcrate uses reasonable skill and care in vetting and matching strategists. However, a strategist's performance depends on factors outside our control, including your product, offer, team, budget, and market conditions. Beyond the replacement guarantee in your placement agreement, we do not guarantee any candidate's performance or any specific business outcome, revenue figure, return on ad spend, or cost per acquisition.
8. Third-party links
The Site may contain links to third-party sites, including portfolios and profiles shared with us. We're not responsible for their content.
9. Confidentiality
We treat information about your company, your roles, and your application as confidential, and we expect the same from you with respect to candidate information, our methods, our test materials, our pricing, and any non-public information shared during a placement. Confidentiality obligations are detailed further in the placement agreement.
10. Disclaimers
The Site is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
11. Limitation of liability
To the maximum extent permitted by law, Adcrate will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Site or our services. Our aggregate liability for any claim arising out of these Terms or the Site will not exceed one hundred US dollars ($100). Liability under a placement agreement is governed by the cap set out in that agreement.
12. Indemnification
You agree to indemnify and hold harmless Adcrate, its officers, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Site will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
14. Changes to these terms
We may update these Terms from time to time. The updated version will be posted here with a new "Last updated" date. Continued use of the Site after changes take effect means you accept the revised Terms.
